Constitution of the Peninsula Sailing Club
1. NAME: The name of this organization shall be PENINSULA SAILING CLUB.
2. PURPOSE: The purpose of this club shall be: A. To provide an educational program in sailing and other waterborne activities B. To enjoy, promote and encourage amateur sailing C. To hold and take part in races and regattas D. To provide for and foster junior participation E. To encourage rowing, canoeing, sculling and other natural forms of water enjoyment
3. MEMBERSHIP: Members shall be of good moral character and shall be favorable to the purpose of the club. There shall be the following classes of membership: A. Family (parents and all children 18 years and under), with the right to one vote per senior member (maximum of two votes) B. Senior (over 18 years), with the right to one vote C. Junior (18 years and under), with no voting privileges except in Junior activities
4. MEETINGS: An annual meeting shall be held in the fourth quarter of each year to elect and install new officers and trustees. Other meetings shall be approved by the Board of Trustees or by the Commodore.
5. OFFICERS AND TRUSTEES: The elective officers and trustees of this club shall be elected from the voting members. The duties of the officers and trustees will be as defined in the bylaws. A. The officers shall consist of Commodore, Vice Commodore, Rear Commodore, Secretary , and Treasurer. B. The Board of Trustees shall consist of the elective officers and three trustees, the trustees for the first year to be elected for a term of one, two, and three years and thereafter one to be elected each years, each to serve a term of three years or until a successor is elected.
6. COMMITTEES: The Commodore shall appoint chairmen and members of all committees including standing committees as provided for in the bylaws. Commodore shall also appoint a nominating committee of three members at least sixty days before the annual meeting.
7. NOMINATIONS AND ELECTIONS: The nominating committee shall, not less than thirty days before the annual meeting, nominate candidates for each of the elective offices and vacancies of the Board of Trustees, and at the same time shall cause notification of nominations to all members. Additional nominations may be made by: A. A letter signed by five voting members and directed to the secretary of the club and postmarked not later than ten days prior to the annual meeting; or B. Nominations from the floor by any voting member for trustees only.
8. FEES AND DUES: The initiation fees and dues will be charges as provided in the bylaws
9. JUNIOR ORGANIZATION: Provision shall be made in the bylaws for the formation of a Junior Organization, govern by junior members and under the supervision of the Board of Trustees
10. YACHT REGISTRATION: Provision shall be made in the bylaws for the registration of sailboats and all other naturally propelled craft in the club under club insignia. The characteristics and use of the club pennant shall be specified in the by laws.
11. AMENDMENTS: This constitution may be amended by a two-thirds majority of the members present at any annual or special meeting provided that notice of the proposed amendment will be given by mail as one of the state objectives of that meeting or at least ten days prior thereto.
12. RULES OF ORDER: Robert’s Rules of Order, Revised, shall apply to this club except as they conflict with this Constitution and its bylaws.
